Terms of Service

1. Acceptance and Overview

These Terms of Service ("Terms") constitute a legal agreement between you ("you", "User") and 0110 Capital ("0110", "we", "us" or "our"). They govern your access to and use of our website, applications and other services (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms and our Privacy Policy.

Important: The Services provide information and facilitate investments for qualified or accredited investors where required. The Services do not constitute individualized investment, legal, tax or accounting advice. Any investment decision is solely your responsibility.

2. Description of Services

We offer a set of technology-enabled services that may include investment opportunity listings, research and analysis, portfolio reporting, transaction facilitation, custody interfaces and investor communications. Specific Services and features may be subject to additional agreements, subscription terms, or offering documents.

We may modify, suspend or discontinue parts of the Services at any time for operational, regulatory or business reasons. We will use commercially reasonable efforts to notify Users of material changes.

3. Eligibility; Account Registration

To use certain Services, you must create an account and provide accurate, complete and current information. You warrant that you are at least eighteen (18) years old and have authority to enter these Terms on behalf of any entity you represent. Certain investments may be available only to accredited or otherwise qualified investors as defined by applicable law.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Know Your Customer (KYC) and Anti-Money Laundering (AML)

To comply with our legal obligations (including AML, sanctions and tax reporting), you agree to promptly provide requested identity, entity and financial information, documentation for beneficial owners, and to cooperate with ongoing due diligence. We employ third-party vendors to perform identity verification, sanctions/PEP screening and other compliance checks.

We reserve the right to refuse service, restrict activity, or terminate accounts where we reasonably suspect fraudulent activity, sanctions exposure, or failure to provide required documentation. These measures are necessary to satisfy applicable regulatory obligations (e.g., U.S. customer due diligence rules and FinCEN guidance).

5. Investment Risks; No Warranty

Investments involve risk — including total loss of principal, lack of liquidity, and market volatility. Information provided through the Services may include third-party data, forward-looking statements, and assumptions that are inherently uncertain. We do not guarantee the accuracy, completeness or timeliness of any information.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

6. Fees, Payments and Custody

Fees for Services are described in applicable agreements or fee schedules. You are responsible for any applicable taxes. We do not act as a custodian unless explicitly stated; custodial services are provided by third-party custodians under separate agreements.

7. Intellectual Property

All content, software, trademarks and other intellectual property on the Site are owned by 0110 or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal investment review and record-keeping only. You may not copy, reproduce, distribute or create derivative works without our prior written consent.

By submitting content to the Site (e.g., comments, feedback, or uploads), you grant 0110 a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, adapt, publish and otherwise exploit such content for lawful business purposes.

8. User Conduct

You will not (and will not assist others to) use the Services to violate law, post false or misleading information, infringe intellectual property rights, transmit malware, harass or defame others, or engage in market manipulation. We may monitor and investigate suspected violations and take remedial action including suspension or termination.

9. Confidentiality

Each party will treat non-public business or financial information of the other as confidential and will not disclose it except as permitted by these Terms, in connection with the Services, or as required by law. Confidentiality obligations do not apply to information that is publicly known or independently developed.

10. Data Protection

Use of personal data is governed by our Privacy Policy. By using the Services you consent to the collection, transfer and processing of your information as described in that policy (including transfers described under International Transfers).

11. Indemnification

You agree to indemnify, defend and hold harmless 0110 and its officers, directors, employees and agents from claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your violation of law or rights of a third party; or (c) your use of the Services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 0110'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO 0110 FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT SHALL 0110 BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST OPPORTUNITY.

13. Dispute Resolution; Governing Law

These Terms and any dispute arising from them shall be governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Except for claims that may be brought in small-claims court, you and 0110 agree to resolve disputes through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, to be held in New York, NY (unless the parties mutually agree otherwise). You and 0110 further agree to waive any right to participate in a class action or class arbitration.

(If you have questions about arbitration or your rights, consult legal counsel; arbitration may affect your ability to seek relief in court.)

14. Termination; Survival

We may suspend or terminate your access immediately for cause. Sections that by their nature should survive termination (including confidentiality, indemnity, limitation of liability, governing law) will survive.

15. Notices

Legal notices to 0110 should be sent to: legal@0110.capital or our registered address. Notice to Users will be provided via email or posting on the Site.

16. Miscellaneous

These Terms constitute the entire agreement between you and 0110 regarding the Services. If any provision is held invalid, the remainder will remain in force. We may assign or delegate rights and obligations under these Terms in connection with a corporate reorganization or sale.
